Terms of Service

This page covers what you are buying, what you are charged, how to stop being charged, and what I do not promise. It is written to be read, not to be survived. If anything here is unclear before you buy, ask me first and I will answer in writing.

1. Who you are contracting with

LocalPBN is operated by de Lacey Ventures LLC, a single member limited liability company registered in the United States, based in Austin, Texas. In these terms, "I", "me" and "my" mean de Lacey Ventures LLC. "You" means the person or business buying the service.

On your card statement the charge appears as JAMESDELACEY, which is the registered descriptor for the account. It is the same business. If you do not recognise a charge, email me before raising a dispute and I will identify it within one working day.

2. What the service is

You are renting a placement, not buying websites. I restore real local business websites that previously existed, establish each one with a Google Business Profile and local citations, publish content on them, and place one contextual in content link pointing to your site. I own and operate those websites throughout. Your rental lasts as long as you keep paying the monthly fee.

This is a monthly service rather than a one off purchase. The first payment covers building the network. The monthly payments after that cover keeping it live, maintained and published on.

3. What each package includes

At the time of writing, the packages are:

For every site in your network, the first month covers restoration, a Google Business Profile, and 300 local citations.

After the build month, each site is published on at a floor of two posts and two podcast episodes per month, and receives additional power ups on a quarterly rotation from the second month onward. Those figures are minimums rather than caps. I do not publish the specific tactics used, and the choice of tactic on any given site is mine.

Market level exclusivity, additional sites, and anything outside the listed packages are quoted separately and are not included by default.

4. Fees and billing

All prices are in United States dollars and exclude any taxes that may apply in your own country.

How the first payment works. The setup fee replaces your first monthly payment. It does not sit on top of it.

Your monthly billing starts one month after you pay the setup fee. You are never charged the setup fee and the first monthly fee at the same time.

Payments are taken by Stripe, which stores your card details. I do not see or store your full card number. Monthly payments recur automatically until you cancel.

If a monthly payment fails, Stripe will retry it. If it keeps failing, I will email you. If payment is not resolved within 14 days of the first failure, I may remove your placements and treat the arrangement as cancelled.

I may change prices for new clients at any time. If I change the price of a package you are already on, I will give you at least 30 days notice by email, and you can cancel before the new price applies.

5. Availability guarantee

Within two working days of your setup payment, I confirm whether I can source suitable domains in your market at the package size you bought. If I cannot, you choose one of two outcomes:

The choice is yours, not mine. If I have not confirmed within two working days, you are entitled to the refund on request regardless of what happens afterwards.

6. Build turnaround

A typical network is live within seven to fourteen days of the domains being confirmed. That is a working expectation and not a contractual deadline. Parts of the build depend on third parties I do not control, specifically domain registrars and Google Business Profile verification, and those can take longer than usual without warning. If a build runs materially beyond the expected window, I will tell you where it is up to rather than leaving you to ask.

7. Cancelling

There is no minimum term and no notice period. Email me and I will cancel your next payment. You keep everything you have paid for until the end of the month you have already paid for.

Be clear about what cancelling means. When you stop paying, your placements come down. The sites stay mine, and I may re let them to anyone afterwards, including a direct competitor of yours in the same market. That is the trade off for renting rather than owning, and it is the reason the monthly fee is what it is.

8. Refunds

The availability guarantee in section 5 is the one situation where I refund the setup fee. Once domains are confirmed and the build has begun, the setup fee is not refundable, because the costs behind it are spent at that point and are not recoverable.

Monthly fees are not refunded for part of a month. If you cancel mid month, your placements stay live until the paid month ends rather than being removed immediately.

If I end the arrangement for my own reasons, and you have not breached these terms, I refund the unused part of the month you have paid for.

9. Exclusivity

Each network I build for you links to you and to no other client. I do not share a network between clients, and I do not point the same site at two competing businesses.

That is placement exclusivity, which is not the same as market exclusivity. Unless you have specifically bought market level exclusivity as a separate quote, I may take on another client in your market and build them a separate network.

10. What I need from you

The target URL you want linked, and the brand name you want used in anchors. I do not need logins to your website, your hosting, your Google Business Profile or your analytics, and you should not send them. If anyone asks you for those credentials in my name, it is not me.

You are responsible for your own website being lawful, accurate and functional. If your site goes offline, the links continue to point at it and the monthly fee continues.

11. No ranking guarantee

I do not guarantee rankings, traffic, leads, revenue or any specific search position. Nobody credible in this industry can, because the outcome is decided by Google rather than by me. What I guarantee is the work described in section 3: the sites, the profiles, the citations, the publishing cadence and the placement. Anything you have seen elsewhere on this site describing results is a description of past work, not a promise about yours.

12. Search platform risk

Search engines change how they value links, and they may devalue, ignore or remove any link or website at any time. That risk exists for every form of link building and it is not something I can contract away. If a search engine devalues part of a network, I maintain and continue to develop the sites as described, but I do not refund monthly fees on the basis of an algorithm change or a change in your rankings.

13. Work I will not take

I decline work for anything illegal in the United States, and I decline adult content, gambling, weapons, unlicensed financial or medical claims, and anything designed to deceive consumers. I may also decline work for any other reason, including that I do not want to compete against an existing client in the same market.

If I discover after starting that a client falls into one of these categories, I may end the arrangement immediately. In that situation, the setup fee is not refunded.

14. Ownership

I own the domains, the websites, the Google Business Profiles and the content on them, before, during and after your rental. Nothing in this arrangement transfers any of that to you, and paying for a longer period does not build up any ownership interest. You keep everything of your own, including your brand, your website and your content.

15. Confidentiality

I do not disclose that you are a client, and I do not name clients in marketing without asking you first. I tell you which sites link to you, and you may keep that private. Please do not publish the network in a way that makes it easy to enumerate, since doing so damages the thing you are paying for.

16. Liability

The service is provided as described and without any other warranty, express or implied, including any implied warranty of merchantable quality or fitness for a particular purpose.

I am not liable for indirect or consequential loss, including lost profit, lost revenue, lost rankings, lost data or business interruption, even if I was told such loss was possible.

Where I am liable, my total liability for all claims is limited to the total amount you paid me in the three months before the claim arose. Nothing in these terms limits liability that cannot lawfully be limited.

17. Changes to these terms

I may update these terms. The version on this page is the current one, and the date at the top is when it last changed. If I make a change that materially reduces what you get or increases what you pay, I will email existing clients at least 30 days beforehand. Continuing to pay after that notice means you accept the change.

18. Governing law

These terms are governed by the laws of the State of Texas, United States, and any dispute is subject to the courts of that state. If any provision of these terms is found unenforceable, the rest continues to apply.

Before either of us goes near a court, email me. Almost everything is cheaper to fix by talking, and I would rather refund a month than argue about one.
